Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the services provided by MarTech5 d.o.o. (“MarTech5”, “we”, “our”, or “us”), including our websites, applications, platforms, and associated tools (collectively, the “Services”). By accessing or using the Services, you agree to comply with and be legally bound by these Terms.

1. Eligibility and Account Registration

1.1. You must be at least 18 years old and have the legal capacity to enter into these Terms to use the Services. By registering an account or otherwise accessing the Services, you represent and warrant that this is the case.

1.2. When creating an account, you agree to provide accurate, current, and complete information. You must keep this information up to date at all times.

1.3. You are solely responsible for safeguarding your login credentials. You accept responsibility for all activities that occur under your account. You must notify us immediately if you suspect any unauthorized access or breach of security.

2. User Content and License

2.1. You may submit content to the Services including, without limitation, text, branding assets, images, form data, and campaign material (“User Content”). You retain ownership of any intellectual property rights in your User Content.

2.2. By submitting User Content, you grant MarTech5 a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, use, reproduce, distribute, communicate, and display such content as necessary to operate and improve the Services.

2.3. You represent and warrant that:

You have all rights necessary to submit the User Content;The User Content is lawful and does not infringe the rights of any third party;The User Content does not contain malware or other harmful code.

3. Data Protection and Privacy

3.1. All personal data is processed in accordance with the EU General Data Protection Regulation (GDPR) and as outlined in our Privacy Policy. By using the Services, you acknowledge that you have read and understood how we collect and process your data.

4. Intellectual Property Rights

4.1. All content and technology made available through the Services, excluding User Content, including but not limited to text, software, code, graphics, logos, trademarks, trade names, service marks, and audiovisual elements (“Company Content”) is owned or licensed by MarTech5 and protected under intellectual property laws.

4.2. You may not:

Copy, modify, reproduce, distribute, or publicly display any Company Content;Reverse-engineer or decompile the Services;Use Company trademarks or logos without prior written consent.

5. Prohibited Uses

You agree not to:

(a) Use the Services for any unlawful purpose or in violation of applicable laws;(b) Upload or distribute viruses, malware, or harmful software;(c) Attempt to gain unauthorized access to the Services or related systems;(d) Interfere with or disrupt the integrity or performance of the Services;(e) Use automated means (e.g., bots, scrapers) to access the Services without authorization;(f) Impersonate any individual or entity, or misrepresent your affiliation.

6. Suspension and Termination

6.1. We may suspend or terminate your access to the Services at any time, with or without notice, if we determine that you have violated these Terms or applicable laws, or if your account is inactive for an extended period.

6.2. Upon termination, you must cease using the Services and delete all copies of materials obtained from the Services. We may retain certain data as required or permitted by law, as detailed in our Privacy Policy.

7. Warranties and Disclaimers

7.1. The Services are provided “as is” and “as available”, without warranties of any kind. 8.1. To the fullest extent permitted by law, MarTech5 and its affiliates, officers, employees, licensors, and partners shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of or inability to use the Services.

8.2. In all cases, our total liability under these Terms will not exceed the amount you have paid to us in the twelve (12) months prior to the event giving rise to the liability.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Slovenia, without regard to conflict of law rules. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ljubljana, Slovenia.

10. Changes to the Terms

We may revise these Terms from time to time. If material changes are made, we will provide reasonable notice by posting an update on our website or by contacting you directly. Continued use of the Services after such updates constitutes acceptance of the revised Terms.
